Terms & Conditions

The Kervah Referral Programme (“Programme”) allows approved referees (“Referees”) to earn commission by referring new organisations and individuals (“Referred Customers”) to the Kervah platform. By participating in this Programme, you agree to these Terms & Conditions.

By using your referral code, you confirm that you have read, understood, and agreed to these Terms & Conditions.

• 2.1Participation is by invitation only. Kervah reserves the right to approve or reject any referee application at its sole discretion.
• 2.2Upon approval, you will receive a unique referral code. This code is personal to you and must not be shared with other referees, published on coupon or discount websites, or used in misleading advertising.
• 2.3Kervah may suspend or terminate your participation at any time, with or without cause, by providing written notice via email.

• 3.1A valid referral occurs when a new customer signs up to Kervah using your referral code and subsequently subscribes to a paid plan.
• 3.2The referral code must be entered at the point of registration. Retrospective application of referral codes is not permitted.
• 3.3Self-referrals are not permitted. You may not use your own referral code for any account you own, operate, or are affiliated with.
• 3.4Referrals from customers who previously held a Kervah account are not eligible, regardless of whether the prior account was on a free or paid plan.

• 4.1You will earn commission at the rate agreed between you and Kervah (as notified to you in writing) on the net subscription fees paid by each Referred Customer, excluding VAT, discounts, credits, or refunds.
• 4.2Commission is calculated on actual payments received by Kervah. No commission is earned on free trials, failed payments, refunded transactions, or chargebacks.
• 4.3Commission is recurring for as long as the Referred Customer maintains an active paid subscription, unless otherwise specified in writing.
• 4.4Kervah reserves the right to modify the commission rate at any time. Changes will be communicated via email and will apply to all future payments from the date of notification. Commission on existing Referred Customers will not be retrospectively adjusted.

• 5.1Commission payouts are calculated monthly, covering the previous calendar month's confirmed payments.
• 5.2Payouts are processed by the 7th of each month for the preceding month's commission.
• 5.3Kervah may set a minimum payout threshold. Balances below the threshold will roll over to the following month.
• 5.4It is your responsibility to provide and maintain accurate payment details. Kervah is not liable for delays or failures caused by incorrect payment information.
• 5.5You are solely responsible for any tax obligations arising from commission earned under this Programme. Kervah does not withhold taxes on your behalf and may request tax documentation where required by law.

• 6.1You must not engage in any misleading, deceptive, or unethical practices when promoting Kervah, including but not limited to: making false claims about the platform's features or pricing; impersonating Kervah staff; sending unsolicited bulk communications (spam); or using paid advertising that bids on Kervah's brand name or trademarks without prior written consent.
• 6.2You must not offer additional incentives, cashback, or discounts to prospective customers beyond what Kervah officially provides.
• 6.3Kervah reserves the right to void commissions and terminate your participation if any referral is obtained through fraudulent, deceptive, or abusive means.

• 7.1This Programme does not create an employment, agency, partnership, or joint venture relationship between you and Kervah. You are an independent participant.
• 7.2You have no authority to bind Kervah or make representations on its behalf unless expressly authorised in writing.

• 8.1Through the Referral Portal, you will have access to limited information about your Referred Customers, including organisation name, subscription plan, subscription status, and commission earned. This information is provided for transparency and must not be shared with third parties.
• 8.2Your personal data will be processed in accordance with Kervah's Privacy Policy.
• 8.3You must comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR), when handling any personal data in connection with your referral activities.

• 9.1Kervah's total liability under this Programme is limited to the commission amounts properly owed to you.
• 9.2Kervah is not liable for any indirect, consequential, or incidental losses arising from your participation in the Programme.
• 9.3Kervah does not guarantee any minimum level of earnings or referral conversions.

• 10.1Either party may terminate participation in the Programme by providing 30 days' written notice via email.
• 10.2Upon termination, you will receive any outstanding commission earned up to the termination date, subject to the standard payout schedule.
• 10.3Commission on payments received after the termination date will not be payable, even if the referral was made prior to termination.
• 10.4Kervah may terminate this Programme entirely at any time by providing 30 days' notice to all active Referees.

• 11.1Kervah reserves the right to modify these Terms & Conditions at any time. Material changes will be communicated via email at least 14 days before they take effect.
• 11.2Continued participation in the Programme after changes take effect constitutes acceptance of the modified terms.

• 12.1These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.
• 12.2Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
